1. Agreement to Terms
These Terms of Service ("Terms") constitute a legally binding agreement between you ("Player", "you") and
NinjaNoJutsu ("NNJ", "we", "us", or "our"), regarding your access to and use of the NinjaNoJutsu website,
game client, smart contracts, and all related services (collectively, the "Service").
By accessing or using the Service, you agree to be bound by these Terms and our Privacy Policy. If you do
not agree, you must not access or use the Service. These Terms apply to all visitors, users, and others who
access or use the Service.
Arbitration Notice: These Terms contain a binding arbitration agreement in Section 21. By using
the Service, you agree that disputes will be resolved by binding arbitration in Costa Rica, and you waive any
right to participate in a class action lawsuit or class-wide arbitration.
2. Eligibility and Restricted Jurisdictions
You must be at least eighteen (18) years of age, or the age of legal majority in your jurisdiction, to use
the Service. By using the Service, you represent and warrant that you meet this requirement.
The Service is a skill-based competitive gaming platform. It is not available to residents of
the following jurisdictions where participation in skill-based competitions with entry fees is prohibited by law:
- Arkansas, Connecticut, Delaware, Louisiana, and South Dakota (United States)
- Canada (all provinces and territories)
- The People's Republic of China
- The Democratic People's Republic of Korea (North Korea)
- The Islamic Republic of Iran
- The Russian Federation
- The Republic of Belarus
- The Republic of Cuba
- The Syrian Arab Republic
- Any country or territory subject to comprehensive sanctions by the United Nations, European Union, or
Office of Foreign Assets Control (OFAC)
- Any other jurisdiction where participation in skill-based competitions with entry fees is prohibited by
law
State-by-State Compliance: In the United States, the legality of skill-based competitions with
entry fees varies by state. We may geoblock states where such competitions are prohibited. It is your sole responsibility
to ensure that your use of the Service is legal in your specific state or jurisdiction. If you are a US resident,
you represent and warrant that you do not reside in a prohibited state.
We reserve the right to geoblock, suspend, or terminate access from any jurisdiction at our sole discretion,
including adding new jurisdictions to the restricted list as laws evolve.
VPN and Proxy Prohibition: The use of VPNs, proxies, Tor, or any other technology to mask your
true location or circumvent geoblocking is strictly prohibited and constitutes a material breach of these Terms.
We actively monitor for and block such traffic.
3. No Securities, No Investment Opportunity
NNJ does not issue, sell, or offer any security, investment contract, or financial instrument. Ranked competitive matches on the Service use only established, third-party cryptocurrencies (specifically Solana
(SOL) and USDC) as a medium of exchange for entry fees and prize distribution.
Entry fees paid into match escrows are not investments. You are not purchasing a security,
a share of NNJ, or any financial instrument. You are paying a fee to participate in a skill-based
competition against another player. The outcome depends entirely on your skill relative to your opponent.
There is no expectation of profit derived from the efforts of NNJ, its developers, or any third
party. NNJ does not guarantee any return on entry fees. You may lose your entire entry fee. Past performance of
other players does not indicate future results.
Match positions, escrow claims, and any rights to pending prizes are non-transferable, non-tradeable, and non-assignable outside of the Service's native smart contract claim mechanism. Any attempt to sell, trade, or transfer your
position in a match or your escrow claim to a third party is prohibited and void.
$JUTSU Token: The $JUTSU token is a digital utility tool designed exclusively for use
within the NinjaNoJutsu platform ecosystem. It is not a security, investment contract, share
of equity, or financial instrument. $JUTSU derives its value solely from its utility within the platform (in-game
store purchases, tournament entry, governance participation). NNJ makes no representations about the value of
$JUTSU in secondary markets or external exchanges.
Dojo NFTs: Dojo NFTs are digital collectibles and membership passes that provide platform
benefits (store discounts, exclusive access). They are not securities, investment contracts,
or financial instruments. Ownership of a Dojo NFT does not confer any ownership interest in NNJ, any revenue-sharing
rights, or any guaranteed financial return.
4. 100% Skill-Based Competition
NinjaNoJutsu is a 100% skill-based Player versus Player (PvP) competitive arena. All match
outcomes are determined solely by player skill — not by random number generation, chance, or
luck.
Winners are determined by objective, deterministic in-game performance metrics, including but not limited
to: player reaction time, tactical decision-making, resource management, strategic seal combination
selection, and execution timing.
No Randomness: The combat system contains absolutely no random number generation (RNG), no critical
hit chance, no dodge probability, no loot boxes, and no chance-based mechanics of any kind. All damage calculations,
state transitions, and outcomes are 100% deterministic based on player inputs and game rules.
Tie-Breaker: In the extremely rare event of a tie (equal health and conditions), the winner is
determined by a deterministic algorithm using the match UUIDv7 identifier. This process is verifiable, reproducible,
and contains no element of chance.
You acknowledge that your ability to win prizes is dependent entirely on your individual skill relative to
your specific opponent in each match. NNJ does not participate in matches, set odds, or act as a house.
5. Accounts and Self-Custody
You may create an account to access the Service. You are solely responsible for maintaining the
confidentiality of your account credentials and for all activities that occur under your account.
NNJ does not store, manage, or have access to your private keys, seed phrases, or wallet passwords. We do not act as a custodian of your crypto assets. You are solely responsible for the security of your Solana
wallet and any connected third-party wallets.
We will never ask you for your private keys or seed phrases. Never share them with anyone claiming to
represent NNJ. If you lose access to your wallet, we cannot recover your funds.
6. Platform Fee
NNJ charges a Platform Fee on each competitive match. This fee compensates NNJ for the technology,
servers, matchmaking algorithms, anti-cheat systems, cryptographic ledger signing, and ongoing platform development
required to operate the Service.
This is not a rake, house edge, or percentage of winnings. It is a transparent service fee for
the infrastructure and technology that enables peer-to-peer competitive matches.
The fee is calculated as a percentage of the total match pool and is automatically deducted by the smart
contract before prize distribution. The fee rate is configurable per match and is set in the server-signed
MatchTicket. The default rate is 3% of the total pool, though this may vary based on
promotions or your Dojo NFT membership tier (if applicable). The exact fee for your match is displayed prominently and transparently in the match lobby before you confirm your entry and sign the escrow
transaction.
Fee Example: In a $15 entry tier match (two players = $30 total pool) with a 3% fee:
- Total Pool: $30.00
- Platform Fee (3%): $0.90
- Winner Receives: $29.10
Fee Changes: NNJ reserves the right to adjust the Platform Fee rate at any time. Any fee change
will be posted on the Service and will apply only to matches entered after the effective date. Matches already
in progress are not affected.
7. Peer-to-Peer Escrow and Smart Contracts
The Service facilitates peer-to-peer (P2P) competitions through immutable smart contracts deployed
on the Solana blockchain. NNJ does not take custody of player funds, nor does NNJ act as a bank, money transmitter,
or escrow agent in a legal sense.
To enter a ranked match, you and your opponent each deposit the required entry amount (in USDC) into a
Solana smart contract escrow. Each match is assigned a unique UUIDv7 identifier. The smart contract (not
NNJ) holds the combined pool until the match concludes.
Supported Tokens: Only official USDC and $JUTSU mints (hardcoded in the contract) are accepted.
No other tokens may be used for match entry or escrow.
$JUTSU Ticket Amount: Certain matches may require a $JUTSU ticket amount as a condition of
entry, as specified in the server-signed MatchTicket. Any $JUTSU required for match entry is transferred to
a dedicated BurnAccumulator token account and is not refunded under any circumstances.
The admin may burn accumulated $JUTSU in batches when the balance meets or exceeds a configurable minimum threshold.
Smart Contract Authority: The smart contract is immutable and operates autonomously according
to its published, audited code. NNJ cannot override, reverse, modify, or intervene in smart contract execution.
Once funds are deposited, they are governed exclusively by the smart contract logic.
Winner Distribution: The winner claims the pool directly from the smart contract. Claim eligibility
is cryptographically verified: the smart contract checks that the server-signed resolution message corresponds
to the winner's Solana account address and the match's UUIDv7. The Platform Fee is automatically deducted and
the remainder is sent to the winner's wallet.
Tie Resolution: In the event of a verified tie, both players may reclaim their original entry
amount (minus the Platform Fee). No player loses more than the fee.
Excess Funds: If the vault ever contains more tokens than the expected pot (e.g., interest, accidental
deposits, or airdrops), the excess is automatically transferred to the protocol treasury when the match is cancelled,
claimed, or expired.
Time Limits and Expiration:
- Deposit Timeout (1 Hour): If you create a match (Player A) and your opponent (Player B) does
not deposit their stake within 1 hour, the match expires. Player A may cancel the match and reclaim their full
USDC deposit. Any $JUTSU ticket amount is not refunded.
- Claim Window (7 Days): Winners must claim their prize within 7 days of match resolution. If
unclaimed after 7 days, any user (including automated keeper bots) may expire the match. All remaining vault
funds are transferred to the protocol treasury. The caller receives the rent deposit as an incentive for cleanup.
Rent Costs and Refunds: Creating an escrow requires a small Solana rent deposit (approximately
0.0032 SOL) to allocate on-chain storage for the escrow account and vault token account. This rent is paid by
Player A when creating the match. When the escrow is closed (via claim, cancel, or expire), the rent deposit is
refunded to the party that closes the account (the winner, Player A, or the expirer). This incentivizes cleanup
and prevents SOL lock-up.
Player Responsibilities:
- Player A (Match Creator): Must have sufficient SOL for transaction fees and rent deposit, sufficient
USDC for the competitive stake, and sufficient $JUTSU for the ticket amount (if required by the MatchTicket).
Must share the match invite with Player B or wait for matchmaking to assign an opponent.
- Player B (Match Joiner): Must join within the 1-hour deposit window. Must have sufficient SOL
for transaction fees, sufficient USDC for the competitive stake, and sufficient $JUTSU for the ticket amount
(if required). Must confirm the match parameters before depositing.
All blockchain transactions, including escrow deposits and claims, are irreversible. You are responsible for
verifying all transaction details, wallet addresses, network fees, and the displayed Platform Fee before
confirming them in your wallet.
8. Server Authority and Cryptographic Match Ledger
NNJ's server logic is authoritative for gameplay integrity and fair play enforcement. All match events are
processed server-side to prevent cheating, collusion, and unauthorized client modifications.
Per-Match Immutable Ledger: Every match generates an independent, immutable ledger. The authoritative
server creates a unique match UUIDv7 at match creation. Each event in the match history is signed by the server
using Ed25519 digital signatures and includes the SHA-256 hash of the previous event, forming a cryptographically
chained sequence. The ledger is encoded in canonical JSON and stored in Base58 format within PostgreSQL TEXT.
Ledger Structure: Each event in the match ledger contains:
- The match UUIDv7 identifier
- A monotonic nonce for replay protection
- A timestamp of the event
- The match state data (player actions, health, conditions)
- The SHA-256 hash of the previous event in the chain
- An Ed25519 digital signature from the authoritative server
Final Resolution Event: The last event in the ledger reveals the winner by public account address,
including the match UUIDv7, nonce, timestamp, winning reason, and final match state data. This final event is
cryptographically signed by the server and serves as the root of trust for on-chain prize distribution.
Public Auditability: All match ledgers are stored server-side and are publicly accessible for
independent audit and verification. Anyone may download the full sequence of events for any match and verify:
(1) the chain of signatures is valid, (2) each event's previous hash matches the prior event, (3) the final event's
hash matches the server resolution signature submitted to the smart contract.
Test Matches: Same-account matches (where the creator and opponent are the same wallet) are test-only
and are not eligible for prizes or ranked progression.
Our public key is publicly readable and available at https://api.ninjanojutsu.com/keys/public for
independent verification. You may verify the authenticity and integrity of any signed match history using this
public key. However, the server's determination of match results is final and binding for all purposes of prize
distribution.
9. Finality of Game Results
All game results are final, irrevocable, and binding. The winner receives the match pool minus the Platform
Fee and any applicable Solana blockchain network fees (typically <0.001 SOL).
Once a match result is signed by the server and recorded, it cannot be appealed, reversed, or modified by
NNJ or any third party. Disputes regarding gameplay must be raised via our Support channels within 24 hours
of match completion, but the server-signed result remains binding for smart contract execution.
10. Internet Connectivity and Technical Responsibility
The Service requires a stable, low-latency internet connection. You are solely responsible for ensuring that
your internet connection, hardware, software environment, and Solana wallet are sufficient to use the
Service.
While we implement client-side reconnection logic to mitigate temporary disconnections, we cannot guarantee
uninterrupted connectivity. NNJ is not liable for any losses, including entry fees, resulting from
disconnections, lag, packet loss, or other connectivity issues originating from your network, ISP, or
device.
If you disconnect during an active match, the match will pause for up to 60 seconds to allow reconnection.
If you do not reconnect within this window, the match may be forfeited and you may lose your entry fee and
any $JUTSU ticket amount. Repeated disconnections (exceeding 10% of your matches) will trigger an automatic
account review.
11. Dojo NFT Membership
Dojo NFTs are digital collectibles and membership passes on the Solana blockchain. They provide
certain platform benefits, including reduced Platform Fees on ranked matches and exclusive access to tournaments
and features.
Dojo NFTs are not securities, investment contracts, or financial instruments. They do not confer
any ownership interest in NNJ, any right to revenue sharing, any dividend, or any guaranteed financial return.
The value of a Dojo NFT derives solely from its utility and desirability as a platform membership pass.
Fee Reduction: Dojo NFT holders receive a reduced Platform Fee on ranked matches based on their
tier. This is a membership benefit, analogous to a discount card or loyalty program. It does not create any debt,
obligation, or investment relationship between NNJ and the holder.
Dojo NFTs are tradeable on secondary NFT marketplaces. NNJ does not control, guarantee, or facilitate
secondary sales. Any purchase or sale of Dojo NFTs on secondary markets is at your own risk.
12. $JUTSU Token Utility
$JUTSU is the internal utility token of the NinjaNoJutsu ecosystem. It is designed exclusively as a digital tool for use within the platform.
Primary Functions:
- In-game store purchases (cosmetic items, visual enhancements)
- Match entry tickets (certain matches require $JUTSU as specified in the server-signed MatchTicket)
- Tournament entry fees for special competitive events
- Governance voting on game balance and platform parameters (Phase 2)
- Dojo NFT acquisition and upgrades
What $JUTSU Is Not: $JUTSU is explicitly not an investment contract, security,
share of equity, debt instrument, or guarantee of future value. NNJ makes no representations about the price,
value, or tradability of $JUTSU in secondary markets or on external exchanges. The value of $JUTSU derives entirely
from its utility within the NinjaNoJutsu platform.
Token Burning: $JUTSU collected as match entry tickets is transferred to a BurnAccumulator account
and may be burned in batches by the admin when a configurable minimum threshold is met. This is a deflationary
mechanism, not a revenue stream to NNJ.
Token Distribution: $JUTSU is distributed through platform participation, community incentives,
and liquidity provision. NNJ does not conduct investment offerings, initial coin offerings (ICOs), or securities
sales. The total supply is fixed at 1,400,000,000 $JUTSU with no additional minting.
Decentralization Commitment: NNJ is committed to progressive decentralization. The combined ownership
of the founding team and company treasury will not exceed 19.99% of the total supply, ensuring compliance with
the digital commodity threshold under applicable regulatory frameworks.
13. Match Entry and Tournament Participation
All competitive matches on the Service require deposit of a competitive stake (in USDC) into the P2P smart contract escrow. Certain matches may also require a $JUTSU ticket amount as specified in the server-signed MatchTicket.
$JUTSU Ticket: When required by the MatchTicket, $JUTSU functions as a digital consumable
for platform access and matchmaking services, analogous to purchasing tokens at an arcade or credits for a
gaming platform. The $JUTSU ticket amount is non-refundable and consumed in full upon match entry. It does not confer any ownership
interest, equity, or residual value. The required amount is displayed prominently and transparently before you confirm match entry.
Competitive Stake (Escrow): You and your opponent each deposit the required competitive stake
(in USDC) into an immutable Solana smart contract escrow. This stake forms the prize pool. The escrow operates
autonomously and is not controlled by NNJ. The winner receives the prize pool (minus the Platform Fee) in USDC
directly from the smart contract.
Two Separate Transactions:
- Transaction 1 — Competitive Stake (USDC): Deposited into the P2P escrow, forms the prize pool,
returned to winner (minus fee). This is the competitive stake.
- Transaction 2 — $JUTSU Ticket (if required): Transferred to the BurnAccumulator, consumed immediately,
grants access to the matchmaking system. This is a platform consumable, not a wager or deposit.
$JUTSU as Digital Consumable: $JUTSU functions exclusively as a digital consumable and platform
credit within the NinjaNoJutsu ecosystem. It is not a security, investment contract, or financial instrument.
The acquisition of $JUTSU is not an investment in NNJ. $JUTSU has no guaranteed value, no redemption rights, and
no residual value after consumption. Its market price is determined solely by supply and demand on external exchanges
and within the platform ecosystem.
Platform Fee: In addition to any $JUTSU ticket, a Platform Fee is deducted from the competitive
stake (USDC) prize pool. This fee compensates NNJ for server infrastructure, anti-cheat systems, cryptographic
ledger signing, and ongoing platform development. The fee is displayed transparently before match entry and is
configurable per match (default 3%), with potential discounts based on your Dojo NFT membership tier. The entire
Platform Fee is allocated to the Company Treasury.
Tournaments (Phase 2): Tournaments are special competitive events that may be introduced in
a future phase of the Service. Tournament participation may require payment of a fee in $JUTSU, which is
consumed upon entry. Tournament prizes are awarded in USDC from the NNJ Company Treasury or from third-party
sponsors. Tournament prizes are not funded by player ticket amounts. The existence, size, and
structure of any tournament prize pool is determined at NNJ's sole discretion.
No Guaranteed Events: NNJ makes no commitment to offer any specific number, frequency, or type
of match or tournament. All competitive events are discretionary and may be modified, suspended, or discontinued
at any time.
14. Discretionary Rewards and Airdrops
NNJ may, at its sole and absolute discretion, distribute $JUTSU tokens, platform credits,
or other rewards to users as part of community engagement, promotional campaigns, or player incentive
programs.
No Guaranteed Rewards: No user has any right, claim, or expectation to receive any reward, airdrop,
or distribution. All rewards are discretionary and may be modified, suspended, or terminated at any time without
notice. Past distributions do not guarantee future distributions.
NFT Holder Benefits: Dojo NFT holders may be eligible for discretionary reward programs. However,
ownership of a Dojo NFT does not entitle the holder to any specific reward, airdrop, or distribution. Any benefits
are promotional in nature and not contractual obligations.
Active Participation Required: Any rewards that are distributed require active participation
in the NinjaNoJutsu ecosystem. No rewards are provided for passive holding, staking, or locking of tokens. Eligibility
is determined by NNJ at its sole discretion based on factors including but not limited to: match participation,
tournament performance, community contributions, and referral activity.
15. Prohibited Conduct
You agree not to:
- Use cheats, hacks, bots, scripts, aimbots, memory editors, or any unauthorized third-party software to
gain an unfair advantage.
- Exploit bugs, glitches, or vulnerabilities in the game client, server, or smart contracts.
- Engage in match-fixing, collusion, win-trading, or any form of coordinated cheating with other players.
- Use multiple accounts, VPNs, proxies, or sybil attacks to manipulate matchmaking, rankings, or escrow
outcomes.
- Reverse engineer, decompile, disassemble, or intercept network traffic from the Service.
- Interfere with or disrupt the Service, servers, or networks connected to the Service (DDoS, packet
flooding, etc.).
- Harass, abuse, dox, or threaten other users or NNJ staff.
- Use the Service for money laundering, terrorist financing, sanctions evasion, or other illicit financial
activity.
- Access the Service from a prohibited jurisdiction or using VPN/proxy technology to circumvent geoblocking.
- Send tokens to the smart contract escrows, BurnAccumulator, or any protocol account outside of the
official enter_match, join_match, claim, or cancel flows.
Violation of these rules may result in immediate account suspension, permanent ban, forfeiture of pending
escrow claims, and referral to law enforcement or regulatory authorities.
16. Anti-Money Laundering
NNJ is committed to preventing money laundering, terrorist financing, and sanctions evasion. We reserve the
right to require identity verification on a risk-based basis, particularly for users exhibiting suspicious
transaction patterns, unusually high match volumes, or other red-flag activity.
We monitor platform activity for suspicious behavior and reserve the right to freeze accounts, report
suspicious activity to relevant authorities, and refuse service to users from sanctioned jurisdictions or
those appearing on OFAC, UN, or EU sanctions lists.
By using the Service, you represent that you are not a sanctioned person and that your use of the Service
does not violate any applicable anti-money laundering or counter-terrorism financing laws.
17. Intellectual Property
All content, graphics, code, smart contracts, and materials provided through the Service are the property of
NNJ or its licensors and are protected by copyright, trademark, and other intellectual property laws.
NinjaNoJutsu is an original competitive gaming platform inspired by ninja combat themes. NNJ does not claim
ownership of any third-party intellectual property that may be referenced or alluded to in community-created
content. All respective trademarks and copyrights belong to their owners. If you are a rights holder and
believe your property is being used improperly, please contact us immediately.
18. Disclaimers and Limitation of Liability
THE SERVICE IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS, WITHOUT WARRANTIES OF ANY KIND, EITHER
EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR
PURPOSE, OR NON-INFRINGEMENT.
NNJ does not guarantee that the Service will be uninterrupted, secure, or error-free. We are not responsible
for losses arising from blockchain network congestion, smart contract bugs (excluding those caused by our
gross negligence), wallet errors, user mistakes, third-party wallet provider failures, or force majeure
events.
Smart Contract Risk: You acknowledge that smart contracts are subject to inherent risks, including
but not limited to coding bugs, exploits, blockchain network congestion, and oracle failures. While NNJ endeavors
to have its smart contracts audited by reputable third parties, NNJ is not liable for losses arising from smart
contract vulnerabilities, except in cases of gross negligence or willful misconduct.
TO THE MAXIMUM EXTENT PERMITTED BY LAW, NNJ'S TOTAL LIABILITY TO YOU FOR ANY CLAIMS ARISING FROM OR RELATING
TO YOUR USE OF THE SERVICE SHALL NOT EXCEED THE GREATER OF (A) THE TOTAL AMOUNT YOU HAVE PAID TO NNJ IN
MATCH ACCESS FEES DURING THE TWELVE (12) MONTHS PRIOR TO THE EVENT GIVING RISE TO LIABILITY, OR (B) ONE
HUNDRED UNITED STATES DOLLARS (US$100). THIS LIMITATION APPLIES REGARDLESS OF THE FORM OF ACTION, WHETHER
BASED ON CONTRACT, TORT, NEGLIGENCE, STRICT LIABILITY, OR ANY OTHER LEGAL THEORY.
19. Indemnification
You agree to defend, indemnify, and hold harmless NNJ and its affiliates, officers, agents, and employees
from and against any claims, liabilities, damages, losses, and expenses, including reasonable attorneys'
fees, arising out of or in any way connected with your access to or use of the Service, your violation of
these Terms, or your violation of any rights of another.
20. Termination
We may terminate or suspend your account and access to the Service immediately, without prior notice or
liability, for any reason, including if you breach these Terms.
Upon termination, your right to use the Service will cease immediately. All provisions of these Terms which
by their nature should survive termination shall survive, including ownership provisions, warranty
disclaimers, indemnity, and limitations of liability.
21. Governing Law and Dispute Resolution
These Terms shall be governed by and construed in accordance with the laws of the Republic of Costa Rica,
without regard to its conflict of law provisions.
Informal Resolution: Before filing any claim, you agree to attempt to resolve any dispute informally
by contacting NNJ Support at support@ninjanojutsu.com. We will attempt to resolve the dispute within 30 days of
receiving your notice.
Binding Arbitration: If informal resolution fails, any dispute arising out of or relating
to these Terms or the Service shall be settled by binding arbitration administered by the Centro de Conciliación y Arbitraje de la Cámara de Comercio de Costa Rica in accordance with
its rules. The arbitration shall be conducted in San José, Costa Rica, or via video conference at the parties'
mutual agreement. The language of arbitration shall be Spanish, as agreed by the parties.
Class Action Waiver: You agree that any arbitration or legal proceeding shall be conducted only
on an individual basis and not in a class, consolidated, or representative action. You waive any right to a jury
trial. No arbitrator shall have authority to conduct class arbitration.
Enforceability: If any portion of this arbitration agreement is found unenforceable, the unenforceable
portion shall be severed and the remaining portions shall remain in full force and effect.
22. Changes to Terms
We reserve the right to modify or replace these Terms at any time. If a revision is material, we will
provide at least 30 days' notice prior to any new terms taking effect. What constitutes a material change
will be determined at our sole discretion.
By continuing to access or use the Service after those revisions become effective, you agree to be bound by
the revised terms. If you do not agree to the new terms, you must stop using the Service.
23. Force Majeure
NNJ shall not be liable for any failure or delay in performing its obligations under these Terms where such
failure or delay results from events beyond our reasonable control, including but not limited to: Solana
blockchain outages or congestion, internet service disruptions, denial-of-service attacks, smart contract
exploits (excluding those caused by our gross negligence), wallet provider failures, exchange failures,
regulatory actions, natural disasters, war, terrorism, riots, embargoes, acts of civil or military
authorities, fire, floods, accidents, strikes, or shortages of transportation, facilities, fuel, energy,
labor, or materials.
In the event of a force majeure occurrence, NNJ will use commercially reasonable efforts to mitigate the
impact and resume performance as soon as practicable. No refund of consumed $JUTSU ticket amounts or
competitive stakes will be provided for matches interrupted by force majeure events.
24. General Provisions
Entire Agreement: These Terms, together with our Privacy Policy and any other legal notices published
by us on the Service, constitute the entire agreement between you and NNJ concerning the Service. Any prior oral
or written agreements, representations, or understandings are superseded.
Severability: If any provision of these Terms is held to be invalid, illegal, or unenforceable
by a court of competent jurisdiction, such provision shall be severed and the remaining provisions shall continue
in full force and effect.
Waiver: No waiver of any provision of these Terms shall be effective unless in writing and signed
by the party against whom the waiver is sought to be enforced. Our failure to enforce any right or provision of
these Terms does not constitute a waiver of such right or provision.
Assignment: You may not assign, transfer, or delegate these Terms or any rights or obligations
hereunder without our prior written consent. NNJ may assign these Terms at any time without restriction, including
in connection with a merger, acquisition, corporate reorganization, or sale of all or substantially all of our
assets.
Third-Party Beneficiaries: These Terms are for the benefit of you and NNJ only. Nothing in these
Terms, express or implied, is intended to confer upon any third party any rights, remedies, obligations, or liabilities.
Relationship of Parties: Nothing in these Terms shall be construed as creating an agency, partnership,
joint venture, employer-employee, or franchisor-franchisee relationship between you and NNJ. We are independent
contractors.
Headings: The section headings in these Terms are for convenience only and have no legal or contractual
effect. They shall not affect the interpretation of these Terms.
Language: These Terms are drafted in English. Any translation is provided for convenience only.
In the event of any conflict between the English version and a translated version, the English version shall prevail.
Taxes: You are solely responsible for determining what, if any, taxes apply to your participation
in skill-based competitions, entry fees, and prize winnings. NNJ does not withhold taxes on prizes or provide
tax advice. You agree to indemnify and hold harmless NNJ for any tax liabilities, penalties, or interest arising
from your use of the Service.
25. Electronic Communications
By using the Service, you consent to receive electronic communications from NNJ, including but not limited
to: account notifications, match results, prize claim reminders, security alerts, terms updates, and
promotional materials. These communications may be sent via email, in-app notifications, push notifications,
or blockchain messages.
You agree that all agreements, notices, disclosures, and other communications that we provide to you
electronically satisfy any legal requirement that such communications be in writing. You may opt out of
promotional communications at any time by following the unsubscribe instructions in the communication or by
contacting support@ninjanojutsu.com. Administrative and security communications cannot be opted out of.
